Job Description
PricewaterhouseCoopers Corporate Finance LLC ("PwC CF") has a dedicated M&A advisory team focused on divestitures, acquisitions, and capital sourcing. PwC CF focuses on executing mid-market M&A transactions and has the expertise and focus of a middle market boutique with access to the resources, integrated advisory services, and industry expertise of the PricewaterhouseCoopers Network of member firms located throughout the world. The PwC CF team operates across all major Industrial, Retail & Consumer, Healthcare, Financial Services, Oil & Gas, and Technology segments and has the ability to draw upon the PwC CF Global Network of more than 1,500 professionals across 60 countries to provide a breadth and depth unmatched by any other middle market firm. Members of the PwC CF team play an important role in developing and strengthening client relationships, participating on advisory teams, and structuring and executing a full range of financial transactions. PwC CF and its professionals specialize in providing investment banking services within the US. PwC CF engagements include advising domestic and international clients in assessing strategic and financial alternatives, and implementing cross-border M&A and debt advisory solutions.

The PwC CF Team specializes in and offers domestic and cross-border M&A services:
- Advising on M&A strategic options
- Identification, solicitation of, and negotiations with potential buyers/sellers

Sell-side services
- Divestitures of US business to foreign buyers
- Divestitures of US-owned businesses located outside of the US
- Divestitures of foreign-owned businesses located in the US

Buy-side services
- Acquisitions by US-owned companies focused on global expansion
- Acquisitions by foreign-owned companies focused on US expansion

Position/Program Requirements
Minimum Year(s) of Experience: 2 years of investment banking or transaction-related experience


Minimum Academic Requirements: Pursuing a Master's degree in Business Administration
Preferred cumulative GPA: 3.3
Preferred Major GPA: 3.3
Eligible students should be in the 3rd year of a 4 yr degree program or in the 4th year of a 5yr program. Client service interns typically join us during the winter/spring or summer prior to their intended graduation year.


Job Duties:
The PwC CF Team Associate Intern plays an integral role supporting the work provided to clients, including participating in some phases of projects, which includes research, analysis and developing insights that address significant client issues related to growth and M&A strategies.


Job Requirements:
The selected individual/individuals for the role must be able to demonstrate thorough knowledge and skills within the following areas:
- Analysis of numerical data, especially conducting quantitative analyses related to company valuations, implementation of financial models, and comparative and pro forma analyses;
- Myriads of risk exposures, identifying and analyzing risk factors facing an organization related to growth and Cross-Border M&A strategies, especially M&A strategy and design; foreign- and U.S.-owned business divestitures and acquisitions; and, identification, solicitation of, and negotiations with potential buyers/sellers;
- Research and analysis of pertinent client, industry, and technical matters related to, as well as troubleshooting and deriving creative solutions for, the following areas
- identifying and compiling applicable third party market research data; designing and completing background profiles of a target company, its competitors and its industry; performing preliminary analysis of target company financial and operational performance; identifying industry experts, key customers and suppliers for contact in an interview program; conducting interviews with experts, customers and suppliers; analyzing target company, market or industry metrics; designing and owning key analyses in client deliverables; creating presentations that effectively communicate results and implications; collecting and preparing necessary data for market sizing or modeling; and, participating in client meetings or conference calls;
- Teamwork dynamics through working as a team member: understand personal and team roles; contribute to a positive working environment by building solid relationships with team members; proactively seek guidance, clarification and feedback; and, prioritize and manage multiple tasks;
- Identification and addressing of client needs: build solid relationships with clients; develop an awareness of Firm services; approach client in an organized and knowledgeable manner; deliver clear requests for information; demonstrate flexibility in prioritizing and completing tasks; and,
- Utilization of effective written and verbal business communication skills when interacting with clients and firm staff and/or management in a professional services business environment. Demonstrated ability and desire to travel on client assignments, as required.
