Job Description
Whether a company is making an acquisition, selling a business unit, entering into a joint venture, or raising capital through an initial public offering or other capital markets transactions, our Transaction Services (TS) professionals can help clients carry out the right transactions and negotiate better terms. Our professionals understand the complexities in evaluating, structuring and executing each transaction wherever our clients are doing deals. Members of the Transaction Services Valuation group collaborate to offer a full spectrum of integrated mergers and acquisitions services designed to increase deal success and minimize transaction risks.

The Valuation experts within PwC's Deals Practice advise corporate clients and private equity firms on the value of businesses, assets, derivatives and other securities for a variety of purposes including mergers and acquisitions, financing transactions and strategic planning. We conduct industry research, analyze financial statements of target companies and competitors, and develop financial models for discounted cash flow, market multiple and option pricing analyses. We consult with our clients to understand their business issues and advise them on the impact of potential transactions and strategic initiatives on their business. We also work with other groups in PwC’s Deals Practice and other lines of service to deliver broad business advice to our clients.

Minimum Year(s) of Experience: 0

Minimum Academic Requirements: Bachelor's degree in Finance, Accounting, Economics, Quantitative Analysis, Engineering or related major
Preferred cumulative GPA: 3.3
Preferred Major GPA: 3.3
Client service associate positions are entry-level and job seekers are typically in the final academic year of completing their educational requirements or have graduated.


Certification(s) Preferred: Before starting at PwC, will be eligible to sit for the primary credential exam appropriate for relevant practice area, such as having 150 credit hours to sit for the CPA exam in certain states.


Job Duties:
The selected individual will work as a team member with senior Valuation practitioners and other professionals, from partners and directors to third party appraisers, on a daily basis. The individual will take part in a myriad of tasks including, but not limited to:
- Performing in-depth client, industry, market, and competitor research
- Creating financial models for the businesses or transactions being analyzed using the discounted cash flow method, guideline public company or transaction method, or option pricing methods
- Valuing companies
evaluating and understanding potential transactions and their impact on acquirers and sellers
- Assisting the Firm?s core audit teams in reviewing valuation analyses and participating in the resolution of complicated issues
- Identifying and addressing client needs; delivering clear requests for information; developing client relationships
- Preparing memoranda and/or reports that communicate findings and recommendations to our clients concisely and effectively
- Proactively seeking guidance, clarification and feedback on assigned projects


Job Requirements:
The selected individual will be expected to have demonstrated knowledge of and/or prior experience with, but not limited to, the following areas:
- Prioritization and handling of multiple tasks in a demanding deal-oriented environment
- Extensive aptitude for conducting research and performing both quantitative and qualitative analyses, particularly complex transactions and the identification of related key elements and issues that are important to reach sound conclusions regarding the relationship between financial statements and an interest in understanding transactions and their impact on the financial statements
- Valuation principles, including the income approach, market approach, and cost approach, and an interest in learning how to apply these principles to complex transactions
- Communication of technical concepts in a manner that is understandable to clients and staf
