Job Description
The Advisory Transaction Services (TS) professionals can help clients carry out the right transactions and negotiate better terms whether the company is making an acquisition, selling a business unit, entering into a joint venture, or raising capital through an initial public offering or other capital markets transactions,

Our professionals understand the complexities in evaluating, structuring and executing each transaction wherever our clients are doing deals. Members of the Transaction Services Valuation and Accounting & Financial Reporting groups collaborate to offer a full spectrum of integrated mergers and acquisitions services designed to increase deal success and minimize transaction risks.

The Transaction Services Financial Due Diligence (TS FDD) practice provides buy-side and sell-side advisory services to financial and strategic buyers with a focus on understanding the key drivers of the business and assessing the quality and sustainability of the target company's reported earnings and cash flows. In addition, TS FDD identifies items that will impact deal value such as non-operating liabilities, commitments and contingencies as well as gaining an understanding of the working capital requirements of the target.

TS FDD delivers concise, deal issue-oriented reports and oral presentations to its clients which highlight the key findings from due diligence, suggest how such findings should be incorporated into the client's valuation model and transaction agreements (e.g. purchase and sale agreement, credit agreement, transition services agreement, etc.).

Position/Program Requirements
Minimum Year(s) of Experience: 0

Minimum Academic Requirements: Pursuing a Bachelor's degree in Accounting, provided that the candidate has demonstrated the required minimum number of hours for CPA licensure per respective state regulations

Preferred cumulative GPA: 3.3
Preferred Major GPA: 3.3

Eligible students should be in the 3rd year of a 4 yr degree program or in the 4th year of a 5yr program. Client service interns typically join us during the winter/spring or summer prior to their intended graduation year.


Degree Preferred: Master's degree

Certification(s) Preferred: Demonstrated commitment to become credentialed with appropriate certification/license (primary credentials to include CPA).


Job Duties:
Transaction Services Interns in the Advisory Practice in the Advisory Practice will play a role by supporting some consulting solutions to PwC clients participating in select projects that may encompass some of the phases of transaction services projects, which may include research, analysis and developing insights that address significant client issues. The selected individual(s) for the role must be able to demonstrate some proven knowledge and skills within the following areas: -An interest in all aspects of Transaction Services, as well as a desire to pursue a career in consulting. -Abilities as team member; building solid relationships; communicating in an organized and knowledgeable manner; delivering clear requests for information; demonstrating flexibility in prioritizing and completing tasks; understanding personal and team roles; contributing to a positive working environment by building solid relationships with team members; proactively seeking guidance, clarification and feedback; and communicating potential conflicts to a supervisor. -Research and analysis of technical matters, while utilizing problem-solving skills. This includes the analysis of large and complex data sets, demonstrating an aptitude for conducting quantitative and qualitative analyses, using the standard suite of Microsoft Office software (Word, Excel, PowerPoint) to execute related deliverables. -Utilization of effective written and verbal business communication skills when interacting with team members in a professional setting The selected individual(s) for the role must be able to demonstrate some proven knowledge and skills within the following areas:
